1. ACCEPTANCE OF THESE TERMS
These Terms of Service ("Terms") are a legally binding contract between you and Future Fair LLC ("Future Fair," "we," or "us"). These Terms govern your use of and access to our website (collectively, the "Platform"), and the services we offer in connection therewith (the "Services"). By browsing, accessing, downloading, or using the Platform or the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the terms and conditions of our Privacy Policy, which is hereby incorporated by reference (collectively, this "Agreement"). If you do not agree to any of the terms of this Agreement, you are not permitted to use or access the Platform or the Services.
2. SCOPE OF SERVICES
Future Fair connects art exhibitors and visitors, both digitally through our Platform and at events, to experience original artwork. If you are a visitor to our website and do not register with Future Fair, you will have the ability to view all publicly available content, subscribe to Future Fair communications, and contact us. If you register for the Platform, you will be able to do all of the above as a registered user. Future Fair is under no obligation to accept any individual as a registered user and may accept or reject any registration in our sole and complete discretion. We may also deactivate any account at any time, including if we determine that a registered user has violated this Agreement.
3. MODIFICATION OF TERMS
We reserve the right to modify this Agreement at any time. You are responsible for reviewing any changes, and your continued use of the Services will constitute acceptance of the updated Agreement.
4. ELIGIBILITY
You must be at least 18 years old to enter into a legally binding contract and to use our Services. If you are 18 or older but under the age of majority in your jurisdiction, you should review this Agreement with your parent or guardian. We reserve the right, in our sole and absolute discretion, to deny you access to the Services or any portion thereof, without notice and without reason.
5. ACCOUNT INFORMATION
When you sign up for our Platform, you must provide true, accurate, current, and complete information, including your real legal name. If we determine that you have not been truthful, we reserve the right to suspend or delete your account without prior notice. You are responsible for protecting your password and are discouraged from sharing it with any third parties. If you choose, at your sole risk, to permit a third party (such as a manager or art advisor) to log onto the Platform under your account, you agree that you shall have sole responsibility for all activity under that account. If you have registered on behalf of a business entity, you represent and warrant to Future Fair that you have the authority to act on that entity's behalf and to bind it to this Agreement. You agree to notify Future Fair as soon as possible of any unauthorized use of your account. You may delete your account at any time by sending an email to hello@futurefairs.com.
6. COMMUNITY GUIDELINES
By accessing the Platform or using the Services, you agree to comply with the following community guidelines and that:
You will comply with all applicable laws in your use of the Platform and Services;
You will not access or use the Platform and Services to collect market research for a competing business;
You will not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity;
You will not interfere with or attempt to interrupt the proper operation of the Platform or Services through the use of any virus, device, information collection or transmission mechanism, software or routine, or attempt to gain access to any content, data, files, or passwords through hacking, data mining, or any other means;
You will not decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Platform or Services;
You will not cover, obscure, block, or otherwise interfere with any advertisements or safety features on the Platform;
You will not use any robot, spider, scraper, or other automated means to access the Platform without our express written permission; and
You will not take any action that imposes or may impose an unreasonable or disproportionately large load on our technical infrastructure.If you find content that violates these guidelines, please contact us at hello@futurefairs.com and we will review it.
7. FUTURE FAIR INTELLECTUAL PROPERTY
The Platform and Services are protected by copyright, trademark, and other laws of the United States and foreign countries. Except as expressly provided in this Agreement, Future Fair exclusively owns all right, title, and interest in and to the Platform and Services, including all associated intellectual property rights. You shall not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Platform or Services.Through our Platform and Services, Future Fair may make content available to you such as articles, videos, photographs, text, graphics, images, sound recordings, and other materials ("Future Fair Content"). Future Fair Content may be owned by us or by third parties and is protected under United States and foreign laws. Unauthorized use of Future Fair Content may violate copyright, trademark, and other laws. You may view Future Fair Content for your own personal, non-commercial use only. No other use is permitted without our prior written consent.The trademarks, service marks, logos, and trade names of Future Fair used on or in connection with the Platform or Services are trademarks or registered trademarks of Future Fair in the United States and abroad. Nothing in this Agreement should be construed as granting you any license or right to use any Future Fair trademark without our prior written permission.Subject to your compliance with this Agreement, Future Fair grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for your personal use in connection with the Services. We reserve all rights not expressly granted to you in this section.
8. MERCHANDISE PURCHASES
8.1 Future Fair may offer branded merchandise ("Merchandise") for sale at Future Fair events. All Merchandise purchases are processed on-site at the Event only. We do not offer online purchasing or shipping of Merchandise.
8.2 All Merchandise sales are final. We do not accept returns or exchanges.
8.3 Merchandise must be picked up in person at the designated pickup location at the Event on the date of purchase. Future Fair is not responsible for Merchandise not collected at the time of purchase and will not hold, store, or ship uncollected items after the Event.
8.4 All Merchandise prices are in U.S. dollars and are inclusive of any applicable taxes unless otherwise stated at the point of sale. Payment is accepted by major credit card only.
8.5 Future Fair reserves the right to limit quantities, discontinue items, or correct pricing errors at any time. In the event of a pricing error, Future Fair reserves the right to cancel the transaction and issue a full refund to the credit card used at the time of purchase.
9. COMMUNICATIONS WITH US
We welcome feedback, questions, comments, and suggestions from users ("Feedback"), which may be submitted to hello@futurefairs.com. Any Feedback you submit will be considered non-confidential and non-proprietary. By submitting Feedback, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation or attribution to you.
10. NO WARRANTIES AND LIMITATION OF LIABILITYEXCEPT AS OTHERWISE PROVIDED IN THIS AGREEMENT, THE PLATFORM, THE SERVICES, THE FUTURE FAIR CONTENT, AND ALL OTHER MATERIALS AND INFORMATION PROVIDED BY FUTURE FAIR ARE PROVIDED "AS IS" AND "AS AVAILABLE." FUTURE FAIR EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE. FUTURE FAIR DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR-FREE.IN CONNECTION WITH ANY WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS: (I) WE SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF OR INABILITY TO ACCESS THE PLATFORM OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (II) ANY DIRECT DAMAGES, NOT ATTRIBUTABLE TO PERSONAL INJURIES, THAT YOU MAY SUFFER AS A RESULT OF YOUR USE OF THE PLATFORM OR SERVICES SHALL BE LIMITED TO THE GREATER OF FIFTY DOLLARS ($50) OR 100% OF THE SUMS PAID BY YOU TO FUTURE FAIR DURING THE SIX (6) MONTHS PRECEDING THE ACTION GIVING RISE TO THE LIABILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND LIABILITIES, AND SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THIS AGREEMENT SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU.
11. EXTERNAL SITES
The Platform may contain links to third-party websites ("External Sites"). These links are provided solely as a convenience and do not constitute an endorsement by Future Fair. We are not responsible for the content of any External Sites and make no representations regarding the content or accuracy of materials on such sites. If you access any linked External Sites, you do so at your own risk.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Future Fair, our affiliates, and our respective owners, members, officers, directors, employees, agents, successors, and assigns from and against any damages, liabilities, losses, expenses, claims, actions, and demands, including reasonable legal fees, arising out of or resulting from: (i) your breach of this Agreement; or (ii) your violation of any third-party rights, including any copyright, trademark, property, publicity, or privacy right. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification under this section, in which case you agree to cooperate with any reasonable requests assisting our defense.
13. COMPLIANCE WITH LAWS
The Platform is based in the United States. We make no claims concerning whether any content may be downloaded, viewed, or be appropriate for use outside of the United States. If you access the Platform or Services from outside the United States, you do so at your own risk. You are solely responsible for ensuring compliance with the laws of your specific jurisdiction.
14. GOVERNING LAW
This Agreement will be interpreted in accordance with the laws of the State of New York and the United States of America, without regard to conflict-of-law provisions.
15. BINDING ARBITRATION
In the event of a dispute arising under or relating to this Agreement, the Services, or the Platform (each, a "Dispute"), either party may elect to finally and exclusively resolve the dispute by binding arbitration governed by the Federal Arbitration Act ("FAA"). Any election to arbitrate, at any time, shall be final and binding on the other party. IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO HAVE A JURY TRIAL, EXCEPT THAT EITHER PARTY MAY BRING A CLAIM IN ITS LOCAL SMALL CLAIMS COURT IF PERMITTED BY THAT COURT'S RULES AND WITHIN THAT COURT'S JURISDICTION.All disputes will be resolved before a neutral arbitrator selected jointly by the parties. The arbitration shall be commenced and conducted by JAMS pursuant to its then-current Comprehensive Arbitration Rules and Procedures, or where appropriate, pursuant to JAMS' Streamlined Arbitration Rules and Procedures, available at www.jamsadr.com. Each party will be responsible for paying any JAMS filing, administrative, and arbitrator fees in accordance with JAMS rules. If conducted in person, the arbitration shall take place in New York, New York. The parties may litigate in court solely to compel arbitration, to stay a proceeding pending arbitration, or to confirm, modify, vacate, or enter judgment on the arbitrator's award.
16. CLASS ACTION WAIVER
You agree that any arbitration or proceeding shall be limited to the Dispute between Future Fair and you individually. To the full extent permitted by law: (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any Dispute to be arbitrated or resolved on a class action basis; and (iii) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST FUTURE FAIR ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17. EQUITABLE RELIEF
You acknowledge and agree that in the event of a breach or threatened violation of our intellectual property rights or confidential and proprietary information, Future Fair will suffer irreparable harm and will be entitled to seek injunctive relief. We may, without waiving any other remedies, seek from any court of competent jurisdiction any interim, equitable, provisional, or injunctive relief necessary to protect our rights and property pending the outcome of arbitration. You hereby irrevocably and unconditionally consent to the personal and subject matter jurisdiction of the federal and state courts in the State of New York, Borough of Manhattan, for purposes of any such action.
18. MISCELLANEOUS
Our failure to act on or enforce any provision of this Agreement shall not be construed as a waiver of that provision or any other provision. No waiver shall be effective against us unless made in writing. Except as expressly agreed by us and you in writing, this Agreement constitutes the entire agreement between you and us with respect to the subject matter and supersedes all previous or contemporaneous agreements, whether written or oral. The section headings are provided for convenience only and shall not be given any legal import. This Agreement will inure to the benefit of our successors, assigns, licensees, and sublicensees.

Future Fair LLC ("Future Fair," "we," "us," or "our") is committed to protecting your privacy. 4. PHOTOGRAPHS, VIDEO, AND LIKENESS
By attending a Future Fair event, whether on a purchased ticket or complimentary pass, you acknowledge and consent to Future Fair LLC, its subsidiaries, affiliates, and partners capturing photographs, video recordings, and other audio-visual content in which you may appear. You grant Future Fair a perpetual, irrevocable, royalty-free, worldwide license to use such content for both commercial and non-commercial purposes, including advertising, marketing materials, social media, press, and promotional campaigns. Please refer to Section 7 of the Ticket and Admission Terms and Conditions for the full terms of this consent.
5. HOW WE SHARE YOUR INFORMATION
We do not sell your personal information. We may share your information in the following circumstances:
With third-party service providers that perform services on our behalf, such as payment processing, email delivery, website hosting, and analytics, who are contractually required to protect your information;
With marketing and promotional partners, where you have consented to receive communications from Future Fair or its partners;
In connection with a merger, acquisition, or sale of all or a portion of our assets, in which case we will notify you via email or a prominent notice on our Platform;
